Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Unicorn MD website, member portal, and related services (collectively, the “Platform”). By accessing or using the Platform, you agree to these Terms.

1. Platform Positioning

Unicorn MD is a healthcare technology and wellness management platform connecting users with independent physician-led clinics, licensed healthcare providers, pharmacies, laboratories, and third-party service providers where applicable. Unicorn MD itself does not directly provide medical care. Medical decisions are made independently by licensed healthcare providers exercising independent medical judgment. Prescriptions are issued only if clinically appropriate. Pharmacies operate independently. Individual results may vary.

2. Educational and Wellness Information Only

Content on the Platform is for general educational and wellness purposes only and does not constitute medical advice, diagnosis, or treatment. Always seek the advice of a qualified clinician for your specific circumstances. Nothing on the Platform is intended to diagnose, treat, cure, or prevent any disease.

3. No Guaranteed Outcomes

We do not promise or guarantee any specific clinical, weight, hormonal, longevity, or other outcomes. Wellness programs are personalized and reviewed by independent licensed providers; outcomes vary by individual.

4. Eligibility and Account Use

You must be at least 18 years old to use the Platform. You agree to provide accurate information, keep your account credentials confidential, and notify us promptly of any unauthorized access.

5. Acceptable Use

• Do not misuse the Platform or interfere with its normal operation.
• Do not attempt to access data that is not yours.
• Do not upload unlawful, infringing, harassing, or harmful content.
• Do not use the Platform to provide medical advice to others.

6. User-Generated Content

You retain ownership of content you submit. You grant Unicorn MD a worldwide, royalty-free license to process and use such content as necessary to operate the Platform and provide services you request.

7. Intellectual Property

The Platform, including its design, text, graphics, and software, is owned by Unicorn MD or its licensors and is protected by intellectual-property laws. You receive a limited, revocable license to use the Platform in accordance with these Terms.

8. Third-Party Providers

Independent physician-led clinics, licensed healthcare providers, pharmacies, laboratories, payment processors, and other third parties are not controlled by Unicorn MD. We are not responsible for their acts, omissions, or independent professional judgments.

9. Payments, Subscriptions, and Refunds

Fees and any subscription terms are presented at the point of purchase. Payments are processed by third-party payment processors. Refund eligibility, if any, will be described at the time of purchase.

Cancellation Policy. Membership subscriptions automatically renew unless canceled at least 3 days prior to the next billing cycle. To avoid future charges, cancellation requests must be submitted before the renewal processing window.

10. SMS / Text Messaging

Use of SMS features is governed by our SMS Terms. Consent is not a condition of purchase. Reply STOP to opt out. Message and data rates may apply.

11. Disclaimers

The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

12. Limitation of Liability

To the maximum extent permitted by law, Unicorn MD will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or any loss of profits, revenue, data, or goodwill arising out of or in connection with the Platform. Our aggregate liability for any claim relating to the Platform will not exceed the greater of (a) amounts you paid to Unicorn MD in the 12 months preceding the claim or (b) USD $100.

13. Indemnification

You agree to indemnify and hold harmless Unicorn MD and its affiliates from any claims arising out of your violation of these Terms or misuse of the Platform.

14. Governing Law; Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Venue for any non-arbitrable matter will lie in the state or federal courts located in Palm Beach County, Florida.

15. Arbitration; Class-Action Waiver

Any dispute arising out of or relating to these Terms or the Platform will be resolved by binding individual arbitration administered under commercially recognized rules in Palm Beach County, Florida, except that either party may bring a small-claims action. You and Unicorn MD waive any right to a jury trial and to participate in any class action.

16. Platform Availability

We strive to keep the Platform available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any aspect of the Platform at any time.

17. Changes to These Terms

We may update these Terms periodically. Continued use of the Platform constitutes acceptance of the updated Terms.
